1. Introduction 

These terms and conditions (the "Agreement") are entered into by and between [Your Company Name] ("Leading Motion" or "Provider") and the client ("Client"). This Agreement outlines the terms and conditions governing the provision of Search Engine Optimization (SEO) services by Leading Motion to the Client. 

 

2. Services Provided 

Leading Motion agrees to provide SEO services as outlined in the agreed-upon proposal or statement of work. The services may include, but are not limited to, keyword research, on-page optimization, off-page optimization, content development, and other strategies aimed at improving the Client's online visibility. 

 

3. Service Duration 

The minimum duration for SEO services provided by Leading Motion is six (6) months, beginning on the date of the initial payment or contract commencement. 

 

4. Termination 

Either party may terminate this Agreement with written notice of at least one (1) month prior to the desired termination date. If the Client wishes to terminate the Agreement before the minimum six-month duration, they shall be responsible for the remaining balance of the contracted term. 

 

5. Client Responsibilities 

 

a. The Client agrees to provide access to their website editing system (e.g., Content Management System) or grant necessary permissions for Leading Motion to make SEO-related changes. 

 

b. The Client shall promptly provide any requested information, content, or materials necessary for the provision of SEO services. 

 

6. No Guarantee of Results 

 

Leading Motion will use its best efforts and industry-standard practices to improve the Client's online visibility and rankings. However, Leading Motion makes no guarantees or warranties, expressed or implied, regarding specific outcomes or results from the SEO services provided. 

 

7. Confidentiality 

 

Both parties agree to keep any confidential information shared during the course of this Agreement confidential and not to disclose it to third parties without written consent from the disclosing party. 

 

8. Payment 

The Client agrees to pay the fees as outlined in the proposal or statement of work provided by Leading Motion. Payment shall be made in advance and in accordance with the agreed-upon payment schedule. 

 

9. Limitation of Liability 

Leading Motion shall not be held responsible for any direct, indirect, incidental, consequential, or special damages, including but not limited to loss of profits, arising out of or in connection with the use of the SEO services provided. 

 

10. Indemnification 

 

The Client agrees to indemnify and hold Leading Motion harmless from any claims, losses, or damages arising from the Client's website or content, or any violation of applicable laws or regulations. 

 

11. Entire Agreement 

 

This Agreement constitutes the entire understanding between Leading Motion and the Client and supersedes any prior agreements or understandings, whether written or oral. 

 

12. Governing Law and Jurisdiction 

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts in [Your Jurisdiction]. 

 

13. Amendments 

 

This Agreement may be amended only in writing and signed by both parties.
